How to ADD A DIRECTOR/ MEMBER  to a CIPC Company?

📍 Before You Start — Preparation

    You’ll need these ready:

A CIPC customer code & password (register at CIPC e-services if you don’t have one).

    Company registration number (enterprise number).

A board resolution approving the appointment.

Written consent from the new director to accept their appointment.

Certified ID copies (not older than 3 months) of:

    the new director

any directors being removed or affected

the person lodging the change (if different).

📌 Tip: Make sure all directors’ contact details (email & phone) on CIPC are correct — CIPC sends One-Time Pins (OTPs) to those contacts to confirm their identity/consent.

    🖥️ Step-by-Step Online Submission (CIPC e-Services)
    1) Go to the CIPC e-Services Portal

    Open: https://eservices.cipc.co.za

    Click Customer Login.

    2) Log in with Your Credentials

Enter your Customer Code, Password, and the security code.

    Accept terms if prompted.

If it’s your first time, you may need to register first and await your customer code before continuing.

    3) Navigate to Director Changes

Once logged in, find the section:
    → Company Director Changes (CoR39)

Or go to Business Maintenance ➝ Director Amendments.

    4) Enter Your Company Details

Enter the company’s enterprise (registration) number and click Validate.

Confirm you want to amend this company’s director details.

    5) View Current Directors

You’ll see the list of existing directors.

    Here you can:

    Add a new director

    Remove a director

    Update details

To add a new director: click “Add New Director”.

    6) Enter New Director Information

Type the new director’s ID number or passport number.

Fill in required fields like full name, contact details, and appointment date.

    Save the entry.

📌 You can click “Add Another Director” if you’re adding more than one.

    7) Confirm All Details

Review the full list of directors and details displayed.

Use Edit if you need to adjust any information before submission.

Click Continue when everything is correct.

    8) Upload Supporting Documents (If Required)

Some cases may require uploads (ID copies, resolutions).

As per CIPC’s new systems, document uploads are optional in many standard appointments (CIPC may request them later).

    If uploading:

Choose PDF files for all documents.

Attach the signed CoR39 form as well.

    9) Submit the Application

After confirming details and documents, click Submit.

The system will generate a tracking number — keep this for reference and tracking.

📩 10) Director & Filer Approvals via OTP

    Once submitted:

CIPC sends OTP (One-Time Pins) to the email and cellphone of:
    • the new director (to confirm consent)
    • the filing director / filer
    • any affected/existing directors (to confirm awareness)

Each OTP must be entered via the links provided within 48 hours.

✅ Director consent via OTP is what finalises the filing — without these, the change cannot complete.

    📄 11) Confirmation & Certificate

After all OTPs are verified, CIPC updates the director records.

A CoR39 confirmation document is emailed — this is your official proof.

    📆 Typical Timelines

The automated appointment generally updates immediately once all OTPs are entered.

If extra documentation or manual review is required, it may take a few days.

📝 After Submission — What to Do

✔ Save and file the CoR39 certificate with your statutory records
✔ Share updated director list with your bank, SARS, and other official bodies as needed.

    📌 Common Pitfalls to Avoid

❌ Incorrect contact details — if emails/phones on file are wrong, OTPs won’t reach directors.
❌ Expired or uncertified IDs — must be certified and within 3 months.
❌ Missing board resolution or consent — even if docs aren’t uploaded immediately, CIPC may request them later.

  • In addition, the attached documents must be signed accordingly and attached to the email together with the certified ID copies of all directors
